
General Terms and Conditions
This English version is a translation for information purposes. The German version is legally binding.
Preamble
The general terms and conditions for brokerage activities form the basis of our business relations with clients for brokerage services. They simplify, accelerate and standardise the conclusion of contracts by means of a set of pre-formulated rules. For merchants within the meaning of the German Commercial Code (HGB) they also apply to future business relations without any express agreement being required.
§ 1 Confidentiality
All information and documents provided by us, including our property listings, are intended exclusively for our client and may only be passed on to third parties with the written consent of Immobilien Storch GmbH. In the event of an infringement, the party passing on the information may be obliged to pay the commission in the amount originally agreed if a main contract (tenancy or purchase agreement) is concluded.
§ 2 Data protection
The client expressly agrees that Immobilien Storch GmbH is entitled to process the necessary personal data of the client in accordance with statutory provisions in order to fulfil its obligations.
§ 3 Limitation of liability
We point out that the property information, documents, plans, etc. passed on by us originate from the seller or landlord. We therefore accept no liability for the accuracy or completeness of this information. It is consequently incumbent on our clients to verify the accuracy of the property information and details contained therein. In all other respects, Immobilien Storch GmbH is liable only in cases of intent, gross negligence, the absence of guaranteed characteristics or the culpable breach of a cardinal obligation; otherwise, statutory provisions apply.
§ 4 Conclusion of contract / commission
The agent's entitlement to commission arises upon conclusion of the legally effective main contract. The commission is earned and due as soon as the main contract (tenancy or purchase agreement) has been concluded. It is payable within 7 calendar days of invoicing. If the desired main contract comes about through our evidence or brokerage activity, a commission is payable by the client to Immobilien Storch GmbH. Both the amount of the commission and the respective payment by the client are governed by the location of the property and the commission customary there, unless a different commission rate is expressly stated in the respective offer.
§ 5 Dual agency
Immobilien Storch GmbH is entitled to act for the other contracting party as well on a commission basis.
§ 6 Duty to enquire
In relation to the owner of a property entrusted to us for brokerage, the owner is obliged, before concluding the intended main contract (purchase or tenancy agreement), to enquire of Immobilien Storch GmbH, stating the name and address of the intended contracting party, whether that party was introduced as a result of our activity.
§ 7 Follow-up transactions
Immobilien Storch GmbH is also entitled to commission for follow-up transactions concluded within a temporal and economic connection with the original contract. A follow-up transaction exists where the concluded contractual opportunity is extended or modified.
§ 8 Place of jurisdiction and applicable law
If our client is also a merchant within the meaning of the German Commercial Code (HGB), Bad Homburg v. d. Höhe, Germany, is agreed as the place of jurisdiction. German law applies exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
§ 9 Severability clause
Should one or more of the above provisions be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced between the parties by an arrangement that comes closest to the economic interests of the contracting parties and does not otherwise conflict with the contractual agreements.
